Terms of Service

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CaliberData Pte. Ltd. ("CaliberData," "we," "us," or "our"), a company registered in Singapore.

By accessing or using our website, platform, or services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Definitions

  • "Services" means the CaliberData website, platform, APIs, tools, and any related services provided by CaliberData.
  • "User" means any individual or entity that accesses or uses the Services, including website visitors, registered account holders, and authorized representatives of organizations.
  • "Vendor" means a data supplier or partner who submits data to CaliberData through the platform or under a vendor agreement.
  • "Data" means any datasets, content, information, or materials submitted to or processed through the Services.
  • "Content" means all text, images, graphics, documentation, and other materials available through the Services.

3. Use of Services

Subject to these Terms, CaliberData grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes.

To access certain features of the Services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities that occur under your account

You must be at least 13 years of age to use our Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services
  • Scrape, crawl, or use automated means to access the Services without our prior written consent
  • Infringe on intellectual property rights of CaliberData or any third party
  • Upload or transmit malicious code, viruses, or any harmful software
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Use the Services for any illegal, fraudulent, or unauthorized purpose

5. Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, logos, and other content provided by CaliberData, are the intellectual property of CaliberData or its licensors. All rights not expressly granted in these Terms are reserved.

You retain ownership of any data and content you submit through the Services. By submitting data as a vendor, you grant CaliberData the rights to use that data as specified in your separate vendor agreement, which may include the right to use supplied data for AI training purposes.

You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you use the CaliberData name, logo, or trademarks without our prior written permission.

6. Data Processing

Data supplied by vendors is processed in accordance with the applicable vendor agreement, which defines the scope, purpose, and permitted uses of the data. Vendors should refer to their specific agreements for detailed terms governing data usage.

Enterprise clients' data is processed in accordance with the applicable service agreement or data processing agreement between CaliberData and the client.

Any use of data for AI model training requires explicit opt-in consent from the data owner, as specified in the applicable agreement. We do not use data for purposes beyond those specified in the governing agreement without obtaining additional consent.

7. Confidentiality

Each party agrees to maintain the confidentiality of non-public information received from the other party in connection with the Services ("Confidential Information"). Confidential Information includes, but is not limited to, business plans, technical data, trade secrets, pricing, and customer information.

Confidential Information does not include information that is publicly available, independently developed, rightfully received from a third party without restriction, or required to be disclosed by law.

8. Payment

Payment terms for vendors, enterprise clients, and other paid engagements are governed by the applicable agreement between CaliberData and the paying party.

Unless otherwise specified in the applicable agreement, all fees are stated in United States Dollars (USD). Fees are non-refundable except as expressly stated in the applicable agreement or required by law.

9. Warranties and Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, CaliberData disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

CaliberData does not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected. We do not guarantee the accuracy, completeness, or reliability of any content or data obtained through the Services.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CaliberData shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services.

CaliberData's total aggregate liability for any claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) SGD 100, or (b) the total fees paid by you to CaliberData in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless CaliberData and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services in violation of these Terms
  • Your breach of any representation or warranty in these Terms
  • Your violation of any applicable law or regulation
  • Any claim that your data or content infringes the intellectual property or other rights of a third party

12. Term and Termination

These Terms are effective from the date you first access or use the Services and remain in effect until terminated by either party.

You may terminate your use of the Services at any time by discontinuing access and, if applicable, closing your account.

CaliberData may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ceases immediately.

Sections that by their nature should survive termination shall continue to apply, including Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Dispute Resolution.

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Rules of Arbitration in force at the time of filing.

The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

14. Miscellaneous

  • Entire Agreement: These Terms, together with any applicable vendor, client, or service agreements, constitute the entire agreement between you and CaliberData regarding the Services and supersede all prior or contemporaneous communications.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Assignment: You may not assign or transfer these Terms or your rights under them without CaliberData's prior written consent. CaliberData may assign these Terms without restriction.
  • Force Majeure: CaliberData shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including natural disasters, acts of government, pandemics, war, or infrastructure failures.
  • No Waiver: The failure of CaliberData to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
